RESPONSIBILITIES
The Associate General Counsel ("AGC") will report to the Vice
President - General Counsel of Agricredit. Together, these
individuals, along with support personnel, manage the day-to-day
legal affairs of the organization. The Vice President operates under
a dual reporting relationship with a solid line accountability to the
Chief Operating Officer of AAC and a dotted-line connection to the
General Counsel of De Lage Landen.
Generic responsibilities will include structuring, negotiating and
creating documentation for retail and wholesale financing for or
through dealers as well as authorizing funding on particular
transactions (e.g., from documentation and compliance perspectives).
The successful hire will develop and implement training relative to
legal issues, maintain standard and non-standard documentation,
structure, negotiate and create documentation for national financing
program relationships with vendors of equipment and for large-ticket
financings, monitor collection and workout litigation and assist the
Vice President - General Counsel in regulatory and corporate
compliance matters relating to the functions of AAC.
Essential functions of the role include the following:
- Structure, negotiate and create documentation for retail financing
and dealer wholesale financing transactions involving specialized assets including
agricultural equipment and food processing and packaging equipment.
- Structure, negotiate and create documentation of national financing
program relationships with vendors of equipment involving specialized funding
options and various recourse and vendor support arrangements (net loss, credit
pools, etc.).
- Review and authorize "final funding" of all transactions
which: (1) are in excess of certain dollar thresholds, (2) contain exceptions
to documentation policies, (3) are created by a third party (e.g., non-standard
agreements), or (4) present complex documentation provisions.
- Maintain, review and update standard inventory (floor plan) financing
transaction documentation and inventory (floor plan) financing reference manuals.
- Maintain, review and update standard retail financing documentation
and retail financing reference manuals, including a detailed analysis of the
terms and conditions of each document. Maintain, review, update and augment
nonstandard documentation binders.
- Develop and implement training for Credit, Risk and Sales Development
departments surrounding documentation, legal issues, and documentation.
- Monitor all collection and workout litigation and retain and supervise
outside counsel handling the litigation.
- Assist the Vice President - General Counsel in regulatory
and corporate compliance matters relating to the function of the Company.
- Satisfy continuing legal education requirements necessary to retain
State Bar Association membership.
In addition to immediately integrating himself/herself into the
management team, it will be imperative that the AGC quickly
establishes working relationships with peers and other leaders within
the DLL organization, plus staff members and the executive leadership
of Agricredit. Concurrently, the successful candidate will be asked
to address various short-term objectives as follows:
- Develop a solid familiarity with outside legal counsel and other
vendors along with immersion into projects that require immediate attention;
- Quickly grasp the inherent nature of AAC's rapid transaction flow
environment;
- Become familiar with the nuances of the company's program agreements;
and
- Learn the substance of the company's compliance program, especially
associated with pending matters.

EDUCATION & EXPERIENCE
- Must possess a law degree (Juris Doctorate) with solid academic

- A minimum five to ten years' of legal work experience is required.
This background may originate from either a corporate legal department or
from a commercial department of a full-service law firm that provided exposure
to complex work content. A combination of both in-house and private practice
experiences will distinguish more sought-after candidates.
- Familiarity with the dynamics of the financial services industry
(e.g., leasing, banking, etc.) and legal issues related thereto are critical
for success along with corresponding exposure to transactional work, collection
and creditor's rights, and Article 9 matters.
- A demonstrated track record in the management of outside legal
counsel or other third-party vendors.
- Prefer a generalist legal background rather than a specialist (e.g.,
litigation) orientation.

COMPENSATION
Compensation will be market-based, corresponding to the experience
